Overview

In this in-house role, you will provide legal guidance on technology and SaaS transactions, employment law, and compliance to support Samsung SDS America's growth. You will partner with HR, finance, and operations to mitigate risk, craft practical advice, and shape policy and risk frameworks. The role is high-visibility, requiring strong communication, multitasking, and cross-functional collaboration. You will work on complex tech transactions and human capital matters, contributing to strategic initiatives and potential international expansion.

Responsibilities
  • Draft, review, and negotiate outbound/inbound SaaS, software licenses, MSAs, and SOWs
  • Audit vendor risk with data privacy exhibits and SLAs
  • Lead negotiations to balance commercial urgency with liability protection (indemnification, liability limits, IP ownership)
  • Provide real-time legal counsel to HR on hiring, performance, terminations, and investigations
  • Draft and implement employment policies (equal opportunity, harassment prevention, remote work, data privacy)
  • Partner with Finance on deal structures and budgeting
  • Coordinate with Compliance on internal controls and with IT/Security on DPA and privacy assessments
  • Participate in senior leadership meetings to provide legal input on business initiatives
  • Contribute to risk-management framework and lead/support special projects (e.g., restructurings, international expansion)
Key requirements
  • 5+ years of experience in transactional law
  • ABA-Accredited Juris Doctor
  • Active law license and in-house Texas admission requirements
  • Ability to manage competing priorities and deliver high-value transactions
  • Proven track record in handling complex, high-value deals
  • Strong project management and attention to detail
  • Ability to build relationships with staff to executives
  • Excellent written and verbal communication
  • US work authorization; ability to commute to Plano, TX
