Overview

In this role you provide practical, business-focused legal counsel to support commercial transactions and strategic initiatives. You will partner with cross-functional teams to draft and negotiate a broad array of agreements while advancing corporate objectives. You'll guide due diligence, post-closing integration, and governance activities, shaping structures for alliances and growth. The position offers a fast-paced, collaborative environment where your legal advice directly impacts business decisions and strategic deals.

Responsibilities
  • Draft, review, and negotiate commercial, corporate, technology, licensing, and strategic partnership agreements
  • Provide practical legal advice on corporate, commercial, and strategic matters to business leaders
  • Support mergers, acquisitions, investments, divestitures, joint ventures, restructurings, and related due diligence and post-closing activities
  • Structure, negotiate, and support strategic alliances and licensing arrangements
  • Manage corporate governance, entity management, and corporate record maintenance
  • Develop and maintain contract templates, policies, playbooks, and processes to improve consistency and risk management
  • Collaborate with business teams on strategic initiatives and cross-functional projects
  • Work with outside counsel and Legal Department on complex matters
  • Support company values and culture and perform other duties as assigned
Key requirements
  • J.D. from an accredited law school; admitted to practice in at least one U.S. jurisdiction (New York preferred or required)
  • 5-10+ years of legal experience in commercial contracting, corporate transactions, and general corporate matters
  • Experience with M&A, investments, joint ventures, restructurings, due diligence, and post-closing integration
  • Experience advising on corporate governance, entity management, and international subsidiary oversight
  • Excellent drafting, negotiation, and project management skills
  • Ability to provide practical, business-focused legal advice and to work independently while collaborating across functions and jurisdictions
