Overview In this role you drive critical corporate legal support to the finance and corporate operations teams, handling day-to-day matters and high-impact initiatives. You will lead governance, SEC disclosures, and strategic transactions while partnering with cross-functional teams to translate legal risk into business solutions. Responsibilities- Provide practical legal guidance to Finance & Corporate Operations on daily needs and process improvements
- Draft and negotiate finance-related contracts, intercompany agreements, and routine corporate agreements
- Oversee entity formation/dissolution, subsidiary governance, records, and annual filings
- Coordinate with external service providers while maintaining internal ownership of processes
- Assist in preparation and review of quarterly/annual/public disclosures and SEC filings
- Ensure disclosures align with business strategy and messaging; support investor relations
- Support Chief Legal Officer and Corporate Secretary on governance policies and board materials
- Lead internal initiatives on M&A, strategic partnerships, investments, and financing arrangements
- Advise on debt/equity financing, credit agreements, and deal structuring; manage outside counsel with minimal loss of control
- Translate complex legal considerations into clear business decisions and cross-functional collaboration
Key requirements- Juris Doctor (JD) with active bar membership in good standing
- 5-8 years of law experience (top-tier law firm and/or public company in-house preferred)
- Strong background in SEC reporting, public company governance, and M&A/strategic transactions
- Proven ability to partner with corporate finance and translate legal risks into business solutions
- Exceptional drafting, negotiation, and process-building skills with high attention to detail
