Overview In this role you will support a broad corporate practice handling domestic and international transactions. You will work on high-impact matters such as M&A, corporate governance, structuring, and financing, collaborating with cross-border teams to deliver practical, business-focused advice. You'll lead due diligence, draft and negotiate key agreements, and mentor junior teammates while supporting client relationships and business development. Responsibilities- Handle corporate transactions including mergers & acquisitions, joint ventures, asset and stock purchases, and restructurings
- Draft, review and negotiate commercial agreements, financing documents, shareholder and investor agreements
- Lead comprehensive due diligence and prepare diligence reports and schedules
- Advise on corporate governance, board and shareholder matters, compliance and maintenance
- Develop and implement corporate structuring strategies for domestic and international operations with tax/regulatory input
- Coordinate transaction closings and post-closing steps
- Collaborate with cross-border teams and external counsel on jurisdictional issues
- Provide practical, business-focused legal advice to clients
- Supervise and mentor junior associates and staff, contributing to training and knowledge sharing
- Maintain client relationships and participate in pitching and business development activities
Key requirements- 3-6+ years of transactional corporate law experience at a law firm with demonstrated M&A and corporate transactions experience
- Experience with international and domestic transactions and cross-border structuring coordinating with foreign counsel
- Strong drafting and negotiating skills for commercial agreements, financing documents and shareholder/investor agreements
- Experience conducting and managing due diligence and preparing related reports and schedules
- Solid knowledge of corporate governance, entity formation and structuring principles
- Excellent drafting, negotiation and analytical abilities with attention to detail and commercial judgment
- Proven ability to manage multiple matters, supervise juniors and work in teams
- Strong communication and client-facing skills, comfortable advising senior executives and boards of directors
