Overview

In this role you will act as a strategic legal partner for Circle's global capital markets initiatives, advising on complex crypto and fintech transactions and Arc's ecosystem. You'll support exchange partnerships, market makers, and institutional collaborations across a fast-moving, regulated environment. The position offers a hands-on, cross-functional experience shaping deals at the intersection of traditional finance and crypto. You will help scale legal processes and templates to accelerate commercial opportunities while managing risk.

Responsibilities
  • Serve as a trusted legal partner to global deal teams for crypto exchange partnerships, market maker agreements, and institutional capital markets transactions.
  • Structure, negotiate, and draft complex crypto, fintech, and capital markets agreements (exchange listings, liquidity provisions, collateral, and tokenized transactions).
  • Support Arc's go-to-market with agreements with exchanges, liquidity providers, validators, and institutional partners in lending, borrowing, FX, and tokenized asset use cases.
  • Develop and expand contract templates and playbooks for capital markets, increasing speed and consistency across the deal pipeline.
  • Improve contracting processes, workflows, and metrics to enhance effectiveness of legal services for global capital markets teams.
  • Assist business leaders with contract interpretation and management with exchanges, custodians, and other counterparties.
  • Stay updated on crypto capital markets, digital assets, tokenization, and stablecoins to provide practical transactional guidance for Circle's institutional go-to-market.
  • Collaborate with cross-functional teams to manage multiple initiatives and navigate regulatory, tax, and compliance implications.
Key requirements
  • 10+ years of legal experience in capital markets, crypto, or financial services.
  • 3+ years at a top-tier law firm.
  • J.D. (or foreign equivalent) and bar admission in at least one U.S. state.
  • Extensive experience drafting and negotiating complex crypto, fintech, and capital markets agreements (exchange, market maker, liquidity, collateral, digital asset transactions).
  • Familiarity with TradFi capital markets concepts (derivatives, structured products, collateral management, market infrastructure) and their interaction with digital assets.
  • Experience collaborating with cross-functional teams on institutional partnerships focusing on capital markets, exchanges, and market makers.
  • Ability to distill regulatory, tax, accounting, and other implications and align stakeholders on transactions.
  • Comfort using AI tools to streamline routine tasks while maintaining strong legal judgment and risk mitigation.
