Overview

As Contracts Manager, you lead a multi-disciplinary Contracts Management and Development team within risk, shaping contract strategy for financial services engagements. You will draft, review, and negotiate a range of agreements and ensure they align with regulatory requirements and business goals. You will lead negotiations with third parties through contract execution, and provide interpretation of terms while escalating high-risk issues. This role offers impact across policy development, templates, and SLAs, contributing to a robust third-party risk program and improved contract management processes.

Responsibilities
  • Lead a team of contracts professionals including Contracts Manager, Contract Administrator, and Enterprise Contracts Counsel
  • Draft, review, and negotiate NDAs, professional services agreements, software-as-a-service agreements, statements of work, amendments, and change orders within guidelines
  • Establish and maintain contract guidelines compliant with regulators (FFEIC, FDIC) to balance risk with business goals
  • Develop and maintain standard contract templates and clauses
  • Collaborate with Third Party Risk Administration, Procurement and Sourcing, and Business Units to understand objectives and risks
  • Liaise with third parties during negotiation through contract execution, actively leading the Bank of Hope team
  • Advise management on contractual rights, issues, and obligations with term interpretation
  • Identify high-risk legal/commercial issues and assist in resolution
  • Provide guidance to develop SLAs with meaningful remedies working with Vendor Risk and Sourcing and the business unit
  • Maintain and continuously improve the Contracts Management and Development Program within TPRM, identifying process improvements
Key requirements
  • Juris Doctor (J.D.) from an accredited US law school
  • Licensed to practice law (California preferred)
  • Experience in a financial services company
  • 10+ years negotiating legal and business terms
  • Ability to create new procedures and workflows
  • Ability to work cross-functionally with stakeholders and leadership
  • Experience in presenting to senior management
  • Excellent negotiation, writing, analytical, and communication skills
  • Proven ability to manage multiple priorities simultaneously
  • Strong organizational and interpersonal skills
