Overview In this role you will guide complex transactional matters for a large syndicator focused on affordable housing. You will structure and negotiate fund agreements, coordinate fund closings, and oversee outside counsel, shaping multi-investor fund programs. You'll work with Investor Relations on closing processes and transfers, addressing tax and structural considerations to support affordable housing initiatives. This is a remote-friendly opportunity with meaningful impact in funding and partnerships that advance community development.

Responsibilities- Advise on transactional matters involving multi-investor and proprietary funds and project partnerships
- Prepare/negotiate fund agreements and closing documents; coordinate fund closings
- Manage investor side letter agreements and investor relations coordination
- Oversee paralegal preparation of closing certificates and documents
- Draft/review post-closing project investment approvals and coordinate asset transfers
- Conduct due diligence and negotiate/execute documents for fund-level bridge loans and warehouse lines
- Handle investor transfer requests and due diligence on transfers
- Advise on funds and initiatives including tax-related and structural considerations
- Review fund agreements and investor letters for consent rights and waivers
Key requirements- Law degree from accredited law school
- US State Bar membership in good standing
- 6+ years of experience in investment funds, federal tax law, securities, LP/LLC under corporate or top law firm environment
- Experience with commercial real estate development/financing, preferably with affordable housing and LIHTC
- Familiarity with government programs related to affordable housing a plus
- Strong analytical/problem-solving skills
- Excellent written and verbal communication; ability to work collaboratively and manage multiple priorities
