Overview In this role you will support a leading Banking & Finance practice within a prestigious AmLaw 50 firm. You will work on complex domestic and cross-border financing matters across private credit, structured finance, and distressed transactions, representing lenders, borrowers, and sponsors. Collaborating across offices, you will help manage deal execution and documentation from diligence to closing. Responsibilities- Represent lenders, borrowers, and sponsors in domestic and international financing transactions
- Draft and negotiate credit agreements, security documents, and intercreditor agreements
- Support receivables financings, structured credit, private credit, syndicated facilities, and distressed transactions
- Collaborate with colleagues across offices to deliver seamless client service
- Manage deal execution from diligence through closing
Key requirements- JD from a top-tier law school
- Active Bar Admission in applicable jurisdiction in good standing
- 4-6 years of substantive experience in structured finance and secured lending at a major law firm
- Experience representing credit funds and other lenders, and/or borrowers and sponsors in a broad range of financings
- Familiarity with structured credit, receivables financings, distressed financings, growth capital transactions
- Experience collaborating with clients in private credit and special situations space
- Strong client service orientation and ability to manage multiple matters
- Demonstrated initiative, sound judgment, attention to detail
- Large law firm experience strongly preferred
