Overview

In this role you will support a market-leading Debt Finance Practice by handling complex leveraged finance transactions for private equity sponsors and lenders. You will work within a collaborative, high-performance environment and partner across private equity, M&A, tax, and restructuring teams. You will shape financing documents and advise on deal structuring, from term sheets to closing. Responsibilities
  • Represent private equity sponsors and financial institutions in sophisticated debt finance transactions (e.g., leveraged buyouts, acquisitions, dividend recapitalizations)
  • Draft, negotiate, and manage financing documents including commitment papers, credit agreements, and security documents
  • Advise on structuring and execution of senior, mezzanine, and unitranche facilities
  • Collaborate across the firm's private equity, M&A, tax, and restructuring teams to provide transactional support
  • Contribute throughout all stages of transactions from term sheet negotiations to closing
Key requirements
  • 3-5 years of substantive experience in leveraged finance with private equity sponsors, banks, or private credit lenders
  • JD from a top-tier law school with strong academics
  • Active Bar Admission in relevant jurisdiction or eligibility to obtain promptly
  • Strong drafting, negotiation, and documentation skills (credit agreements, commitment letters, collateral documents)
  • Experience at a large, sophisticated firm preferred
  • Excellent communication, organizational, and analytical abilities; ability to manage complex workstreams
