Overview

In this Corporate Attorney role, you will support emerging growth companies and their institutional investors within DLA Piper's Professional Track Attorney program. You will contribute to venture capital financings, M&A transactions, and governance matters, collaborating with partners and clients to deliver timely, high-quality work. The role blends legal analysis, client service, and mentorship, with opportunities to shape client engagements and develop leadership skills. You will work across locations, with a focus on growth and strategic corporate matters that impact venture-backed companies.

Responsibilities
  • Communicate clearly with partners, clients, staff, and third parties; produce deliverables and manage deadlines
  • Analyze complex legal issues and apply research to facts; provide timely, accurate work product
  • Avail yourself to ensure timely service delivery, including evenings and weekends when needed
  • Manage due diligence for M&A and venture financings; assist in governance matters
  • Travel as required for client meetings, advocacy, or business development
  • Foster client relationships and anticipate needs to sustain engagement
  • Mentor and supervise junior lawyers and staff
  • Observe firm policies and professional standards
Key requirements
  • 5-8 years of Emerging Growth/Venture Capital experience
  • Direct AmLaw 100 experience preferred
  • Familiarity with NVCA, and Y Combinator
  • Experience negotiating and managing preferred stock, bridge, and SAFE financings
  • Ability to manage due diligence on M&A transactions and venture financings
  • Experience advising clients on corporate governance matters
  • Oral and written communication
  • Strategic thinking
  • Project management
  • Knowledge of NVCA forms, venture capital documents; Y Combinator
  • Experience with preferred stock financings, bridge financings, SAFE financings
  • Due diligence for M&A and venture financings
