Commercial Counsel

As Commercial Counsel at Brex, you will support all aspects of the company's commercial legal efforts, focusing on customer and partner contracts. You will collaborate with sales, deal desk, and cross-functional teams to close deals efficiently while protecting Brex's interests. You'll help develop contracting processes, policies, and workflows, and provide pragmatic, business-oriented legal guidance. This role blends strategy with execution in a fast-paced, growth-focused fintech environment, offering impact across the company's commercial activities.

• Draft, review, and negotiate customer agreements from initial review to signature with sales and deal desk
• Negotiate inbound commercial contracts, including AI, SaaS, technology, master services, consulting, marketing, agency and media, events, and NDAs
• Improve contracting processes by developing playbooks, policies, procedures, and CLM/AI tools usage
• Identify and mitigate contractual risks within defined parameters and escalate complex issues as needed
• Provide business-oriented legal advice on contract terms, deal structures, and risks
• Collaborate with deal desk, ops, procurement, privacy, security, marketing, and people to translate business needs into clear terms
• Act as a business partner, contributing to internal resources and process improvements

• Entrepreneurial mindset and ability to own initiatives in a fast-paced environment
• 3-5+ years of relevant commercial law experience, in-house at a tech company or corporate/tech transactions at a law firm
• JD and active bar membership in at least one US jurisdiction
• Experience drafting, reviewing, and negotiating complex technology and commercial contracts (customer-facing and vendor inbound contracts ideal)
• Strong judgment, attention to detail, and ability to manage multiple priorities
