Overview In this role you provide legal support for the equity finance business within an investment bank, focusing on margin lending, equity repo, securities lending and delta-one swaps. You guide regulatory compliance and contract drafting, partnering with risk, credit and operations to enable financing activities. You'll shape standard documentation and advise on complex securities financing and regulatory matters. This role suits a seasoned securities lawyer who helps the business navigate a fast-moving, highly regulated market.

Responsibilities- Provide legal support to equity sales/trading platform with emphasis on equity finance
- Advise on LP fund financing, margin lending, equity repo, securities lending and delta-one equity swaps
- Offer guidance on margin lending regulations, FINRA, Reg T, Reg U compliance
- Provide guidance on Dodd-Frank and rules applicable to Security-Based Swaps and SB Swap Dealers
- Draft and negotiate credit agreements, loan documents and related financing agreements
- Draft and negotiate securities financing docs (MRAs, MSLA, equity swap MCAs); maintain standard templates
- Collaborate with Credit, Market Risk, Collateral Management, Operations and other stakeholders to manage legal, operational and risk matters
Key requirements- JD from US law school
- Admittance to New York State Bar
- 8-10+ years of practice, ideally top AmLaw 100 and in-house in financial services
- Strong margin lending, equity repo and delta-one experience
- Strong understanding of securities regulations including Dodd-Frank, Reg T, Reg U
- Ability to be a trusted business partner to internal clients
- Strong collaboration and relationship-building with internal clients
- Effective negotiation and drafting skills
