Overview In this Legal Counsel role, you will support Transamerica's retirement plan businesses, providing strategic legal guidance to retirement recordkeeping and plan administration. You'll work with a team within General Counsel to address ERISA-related matters, regulatory developments, and complex agreements. The position offers impact across plan documents, disclosures, and compliance, shaping offerings for 401(k) and other retirement products. You'll collaborate with cross-functional partners to deliver practical, cost-effective solutions in a fast-paced environment. Responsibilities- Provide legal support for retirement plan recordkeeping and plan administration products and services (401(k), 403(b), 457(b), defined benefit, nonqualified plans, PEPs/MEPs)
- Prepare, review, and negotiate contracts and documents (recordkeeping, trust/custodial, TPA and 3(16) services, investment advisory/management agreements, vendor/TPA agreements)
- Develop expertise to advise on plan documents, notices, and disclosures (ERISA 408(b)(2), 404(a)(5 ; ERISA 404(c) considerations; QDROs and beneficiary designations; claims/appeals; discrimination testing and corrections
- Monitor regulatory developments and brief stakeholders on business impact
- Draft regulatory responses to examinations/inquiries (DOL/IRS/PBGC) including document production and remediation plans
- Advise on sponsor/participant issues, operational issues, and complaints as experience allows
- Collaborate with regulatory support, compliance, risk, operations, product, and sales/distribution to implement policies and procedures
- Contribute to complex legal issues with multi-factor analysis and provide practical, business-oriented solutions; keep senior management informed about developments
Key requirements- JD from an ABA-accredited law school
- Bar in good standing in any U.S. jurisdiction
- Two+ years of ERISA/retirement plans experience at a law firm, consulting firm, or in-house
- Strong written and oral communication; sound judgment; ability to tailor legal advice to business needs; agile in a changing environment
