Overview

In this role you support the firm's risk management by handling Outside Counsel Guidelines and engagement terms. You work with the Office of General Counsel and New Business Intake to review, negotiate, and finalize terms, ensuring alignment with firm positions. You maintain OCG playbooks and tracking tools, and identify risk areas early to protect client and firm interests. You collaborate with cross-functional teams to gather input, drive terms to completion, and sustain strong client relationships. This position offers hybrid work across multiple U.S. offices and centers on precise analysis, policy adherence, and proactive risk mitigation.

Responsibilities
  • Perform initial OCG and engagement term reviews and coordinate with OG C and New Business Intake to complete thorough analysis
  • Identify negotiable terms and propose modifications
  • Coordinate with Finance, Information Governance, Information and Cyber Security, Data Privacy and Protection, HR, and other teams to gather feedback and follow up
  • Proactively identify emerging risk areas in engagement documents and propose solutions
  • Maintain a tracking database for engagement term negotiations and drive OCG completion
  • Coordinate with Conflicts and New Business Intake to reflect agreed terms in internal processes
  • Maintain procedures/manuals for review and negotiation of engagement terms and respond to frequently negotiated terms
  • Serve as an Intapp subject matter expert and ensure accurate tagging of terms
  • Ensure compliance with and improvement of engagement letter policy for clients without formal terms
  • Support disengagement efforts and participate in other projects as needed
Key requirements
  • Active law license in good standing in the practicing state
  • Minimum JD degree
  • Minimum 2 years' experience in a law firm or in-house legal department
  • Experience as an Intake Attorney, contract attorney, or similar role preferred
  • Experience with Intapp Terms preferred
  • Effective written and verbal communication
  • Detail-oriented and meticulous
  • Ability to work under pressure and manage competing demands
  • Intapp Terms (preferred)
  • Engagement terms analysis and negotiation
  • Legal policy compliance
