Responsibilities- Draft, review, and negotiate a wide range of technology and IP agreements (licensing, development, services, distribution, collaborations)
- Provide IP diligence and strategic counseling in connection with M&A, equity financing, e-commerce, media, and entertainment transactions
- Collaborate with internal corporate, litigation, and regulatory teams to address IP-related risks and strategy
- Advise clients on structuring commercial transactions aligned with evolving business models and technology trends
- Work directly with clients to understand business objectives and craft tailored legal solutions
- Contribute to team development, knowledge sharing, and client growth initiatives
Key requirements- JD from a top-tier law school
- California Bar admission in good standing
- 3-6 years of IP and commercial transactions experience in a law firm
- Experience structuring, drafting, and negotiating complex IP and technology-related agreements
- Experience with IP aspects of M&A and equity financing
- Interest in or experience with artificial intelligence is advantageous
- Technical background strongly preferred
- Science degree or technology experience (computer science, programming, engineering)
