Overview

As Senior Corporate Counsel, you will act as a strategic legal partner on corporate, financing, governance, and strategic matters. You will advise senior leaders across functions and support complex transactions in a global energy company. You'll work with cross-functional teams to advance business objectives while managing legal and reputational risk. This role offers the chance to shape large-scale finance, real estate, and community investment initiatives within a respected industry leader.

Responsibilities
  • Advise on treasury, financing, liquidity, and capital allocation initiatives
  • Support debt financings, credit facilities, syndicated lending, intercompany financing, and related agreements
  • Structure and negotiate credit support arrangements (guarantees, letters of credit, bonds, collateral)
  • Provide legal support for synthetic lease and structured finance arrangements
  • Oversee real estate, facilities, and property transactions (acquisitions, dispositions, leases)
  • Advise on charitable contributions, sponsorships, community investments, and governance considerations
  • Support domestic and international corporate transactions (M&A, restructurings, joint ventures) and due diligence
  • Coordinate cross-functional transaction teams and provide training and guidance to business functions
  • Support aviation matters, including aviation services, transportation agreements, and regulatory issues (FAA)
Key requirements
  • J.D. from an accredited law school
  • Licensed and in good standing with at least one U.S. state bar
  • 10+ years of relevant corporate legal experience with complex transactions and financing
  • Experience advising on charitable contributions or community investment initiatives
  • Strong corporate, transactional, drafting, negotiation, and risk-balancing skills
