Overview In this role you join Baker McKenzie's premier Global Equity Services/Compensation practice to design and implement global incentive and compensation arrangements. You will advise on regulatory, tax, and securities issues across cross-border matters, supporting clients through M&A, spin-offs, IPOs and redomestications. You collaborate with a leading multidisciplinary team to deliver holistic guidance on share-based plans and executive compensation. This position offers exposure to high-profile, cross-border work in a global firm with strong emphasis on diversity and inclusion. Responsibilities- Design, implement, and maintain global incentive and compensation arrangements (notably share-based plans)
- Advise on legal, regulatory, and tax issues for compensation programs in cross-border contexts
- Prepare client-facing documents such as opinions, memoranda, and correspondence
- Support clients through M&A, spin-offs, divestitures, IPOs and redomestications
- Draft and communicate complex compensation-related analyses to clients and internal teams
- Stay current on securities, tax, currency control, and employment laws affecting compensation arrangements
Key requirements- 3-6 years of relevant experience in global incentive and compensation matters
- Strong academic credentials
- Excellent written and verbal communication skills
- Experience advising on U.S. and international securities, tax, currency control, employment law
- Ability to draft client-focused legal opinions, memoranda, and correspondence
- Admitted to and in good standing in the Bar of the state of employment
- Experience in U.S. domestic executive compensation or global tax/global employment law is a plus
- Major law firm experience is a plus
