Overview In this role you will support SEC and Nasdaq/public company obligations and contribute to sustainability disclosure and board governance. You will work closely with finance, IR, and leadership in a fast-paced global environment, shaping compliance and reporting across U.S. and U.K. requirements. You will drive disclosure quality, governance alignment, and risk oversight, with opportunities to influence capital markets activities and ESG initiatives. This position offers exposure to cross-functional teamwork and meaningful regulatory impact at a global medtech leader.

Responsibilities- Prepare and review SEC filings (Forms 10-K, 10-Q, 8-K, proxy statements, Section 16)
- Support annual proxy process (drafting and coordination)
- Ensure compliance with Nasdaq listing standards (governance, disclosure, approvals)
- Assist with U.K. reporting obligations (annual reports, governance disclosures, Companies Act)
- Prepare Board materials and governance documentation; attend meetings as needed
- Monitor U.S. and U.K. securities and governance developments; advise leadership
- Collaborate with finance, IR, and executives on earnings releases and disclosures
- Support sustainability disclosures and ESG data coordination
- Develop and manage ERM program (risk identification, assessment, monitoring, reporting)
- Support capital markets transactions (equity offerings, financing)
- Manage global subsidiary governance and intercompany actions
- Review material contracts for alignment with public company obligations
Key requirements- J.D. from an accredited law school
- Active State Bar membership in at least one U.S. jurisdiction
- 3-6 years of relevant experience, preferably at a top-tier law firm
- Direct SEC reporting and public company compliance experience
- Familiarity with Nasdaq rules and listing standards (preferred)
- Exposure to U.K. public company reporting and governance (a plus)
- Experience or interest in sustainability disclosure and reporting (a plus)
- Experience reviewing corporate and commercial contracts
