Overview In this role you will serve as the lead legal advisor for CLO transactions and a broad set of securitization and financing matters within a global bank. You will partner with bankers, risk, and compliance to structure, negotiate, and execute complex securitization deals across CLOs, ABS, RMBS, and CMBS. You will monitor regulatory developments and provide practical guidance on legal, regulatory, and risk considerations to enable business growth. You will work cross-functionally to shape new products and transaction structures and manage external counsel relationships.

Responsibilities- Lead legal advice for CLO transactions including warehouse facilities, issuances, refinancings, resets, amendments, and deal management
- Draft, review, and negotiate CLO and structured finance documentation, coordinating with bankers, trustees, rating agencies, and external counsel
- Support securitization across asset classes (ABS, RMBS, CMBS) and other structured credit products
- Advise on product development, structuring, and strategic initiatives; monitor regulatory developments and advise on implications
- Collaborate with compliance, risk, operations, and other functions to assess regulatory requirements and enhance policies and controls
- Provide practical, business-oriented legal advice balancing objectives with risk; manage complex transactions from structuring to execution
- Prepare clear legal analyses and recommendations for senior management; coordinate with industry groups and external counsel
- Manage external counsel relationships, including budgeting and oversight
- Identify and mitigate legal/regulatory risks while supporting growth initiatives
- Work with cross-functional teams in a fast-paced financial services environment
Key requirements- Juris Doctor (J.D.) from an accredited law school; active U.S. bar in good standing
- 7+ years of legal experience in securitization, structured finance, and capital markets
- Deep CLO expertise including warehouse financings, issuances, refinancings, resets, amendments, and ongoing management
- Significant experience with securitization products: CLOs, ABS, RMBS, CMBS
- Strong knowledge of corporate, securities, finance, secured lending, creditor rights, and bankruptcy laws
- Proven ability to draft and negotiate complex transaction documents and manage end-to-end execution
- Ability to provide practical legal advice aligned with business objectives and risk management
- Excellent analytical, negotiation, and communication skills; ability to influence senior stakeholders
- Ability to manage multiple priorities, work independently, and perform under pressure
