Overview In this role you will serve as the lead attorney for all Shutterfly brands, offering strategic legal guidance to the senior leadership team. You will help shape corporate strategy, protect company interests, and ensure regulatory compliance across jurisdictions. You will oversee negotiations, contract management, IP and privacy efforts, and risk mitigation while managing external partners and guiding a high-performing legal function. Responsibilities- Serve as a strategic advisor to the CEO, CFO, ELT, Board and shareholders on strategy, risk, governance, financing, acquisitions, and value creation
- Develop and implement a comprehensive legal strategy aligned with business objectives
- Provide leadership to the legal team and collaborate with Finance, Partnerships, HR, Operations, Marketing and other functions
- Oversee corporate governance, ensure compliance with laws and best practices across jurisdictions
- Lead legal support for M&A, divestitures, joint ventures, strategic investments, and financing
- Support transaction structuring, due diligence, negotiation, and integration with Finance and ELT
- Support corporate restructuring and business transformation initiatives
- Identify and mitigate legal risks and develop enterprise-wide risk management protocols
- Direct contract negotiation and management for complex agreements (vendor, licensing, partnerships)
- Safeguard IP and manage IP portfolios; oversee data privacy, cybersecurity, and marketing compliance
- Advise on regulations related to AI/ML and automated decision-making; coordinate with IT security on incident readiness
- Provide guidance on employment-related matters, contracts, policies, and disputes
- Direct litigation and dispute resolution efforts with external counsel and internal stakeholders
- Oversee consumer protection, advertising, pricing, claims, and eCommerce compliance
Key requirements- Experience advising CEOs, Boards, and senior leadership
- Strong understanding of corporate governance, regulatory compliance, and risk management
- Ability to manage multiple priorities under time constraints
- Proven leadership in building and leading legal teams
- Excellent negotiation, communication, and interpersonal skills
- Strategic thinker with problem-solving abilities and sound judgment
- High emotional intelligence and private equity experience is a plus
- Juris Doctor degree from an accredited law school
- Minimum 15 years of progressive legal experience in corporate and commercial law, preferably in consumer industry
